1. Agreement
These terms are a contract between you and TODO_ITEM: operator legal name, a sole proprietor doing business as Zyxt ("we", "us"), operator of Factotum. By connecting to or using Factotum, you agree to them. If you do not agree, do not use the service.
2. Eligibility
You must be at least 18 years old. Factotum is offered in the United States only and is not intended for use elsewhere.
3. What the service does
Factotum is a remote MCP server that stores tasks and their change history, and exposes tools that let an AI assistant read and write those records on your behalf. You are responsible for the instructions you give your assistant and for reviewing the actions it takes.
4. Your responsibilities
You agree that you will not:
- Use Factotum for any unlawful purpose, or to store or process unlawful content.
- Connect Factotum to any system you do not own or lack authority to access. You represent and warrant that you have the right to connect every system you connect, and to authorize the reads and writes you perform against it. You are solely responsible if you do not.
- Attempt to disrupt, overload, probe, or reverse engineer the service, or circumvent its usage limits.
- Resell or redistribute access to the service without our written permission.
5. Usage limits
The free tier includes full read and write access up to 1,000 tasks. After 1,000 tasks, reading, editing, and undo continue to work; creating new tasks requires a paid plan.
Separately from that tier, we enforce a technical rate ceiling of TODO_ITEM: requests per minute to protect the service from abuse. This ceiling is an abuse control and is not a limit on the number of tasks included in your plan.

Payments are processed by Stripe. We do not see or store your card details.

7. Cancellation and your data
You may stop using Factotum at any time by disconnecting it from your assistant. TODO_ITEM: cancellation, export window, and end-of-plan behavior
8. Availability
Factotum is provided on a best-effort basis. We make no uptime commitment, offer no service level agreement, and provide no credits or refunds for downtime. We may modify, suspend, or discontinue the service, in whole or in part, at any time.
9. No warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the service will be uninterrupted, error-free, or that the records it stores will be accurate or complete. You are responsible for verifying any action taken on your behalf and for maintaining your own backups of anything you cannot afford to lose.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify and hold us harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your use of the service, your violation of these terms, or your connection of any system you did not own or lack authority to access.
12. Suspension and termination
We may suspend or terminate your access at any time if you violate these terms, if your use threatens the security or stability of the service, or if required by law. Sections 4, 9, 10, 11, and 13 survive termination.

14. Changes
We may update these terms. If a change is material, we will update the date at the top of this page and notify active users by email. Continued use after a change means you accept the updated terms.
